Wyoming is where people form an LLC when they want low fees and their names off the public record, and the filing takes minutes: a $100 online form, active as soon as you submit it. What Wyoming asks for instead is a registered agent in the state and, behind the scenes, a contact person on file with that agent.
Step by step
Search on Wyoming business name search. Checking the name is the filer's own job: the Secretary of State reviews new registrations the next business day, and if the name turns out not to be distinguishable you may have to file more paperwork and pay more fees.
Words to avoid or that need permission:
Also worth knowing:
File online at wyobiz.wyo.gov. Fee: $100 (online card payments add a payment-processor convenience fee).
The form asks for:
What is different about Wyoming’s form:
On paper: Yes: the PDF Articles can be mailed with a check or money order, taking up to 15 business days; some names (banking or education words, special characters) must be filed this way.
When filed online, the business entity is active immediately (the name is then reviewed the next business day); mailed documents take a maximum of 15 business days.
Wyoming's expedite service ($700 next business day, $1,400 same day; guide revised June 2026) does not cover new LLC formations, because they can be filed online, nor filings needing banking or education approval of the name.
Approval is the start. Get the LLC’s EIN, free from the IRS, then work through what Wyoming expects next:
The report certifies the LLC's capital, property and assets in Wyoming and its principal office address. It cannot be filed online if the tax is over $500; email reminders go out 60, 30 and 10 days before.
An LLC dissolved for missing annual reports can be reinstated within 2 years (online if it has no other problems); after 2 years Wyoming law does not allow reinstatement.
Required by W.S. 17-28-104(d) and 17-28-107; giving the agent false records can mean a fine of up to $1,000. You may file the same details with the Secretary of State on free forms instead.
Forming a Wyoming LLC does not by itself mean you need a license: you need one if you sell taxable items and have a physical presence in Wyoming (beyond a registered agent or virtual office) or meet the economic thresholds. Apply online through the Excise Tax Division's WYIFS system, which generally takes about two weeks.
One registration at WYUI.wyo.gov decides both unemployment insurance and workers' compensation. Wyoming is a 'monopolistic' state: most employers must buy workers' comp from the state fund, not a private insurer.
Wyoming has no individual or corporate income tax, so there is no state income tax return or account to open.
There is no statewide general business license: apart from registering with the Secretary of State, licenses and permits depend on the kind of business and on your city or county clerk.
The Articles name an organizer and a registered agent, not the owners, and by law the annual report asks only for the LLC’s Wyoming assets and its address. That is why Wyoming is popular with owners who live elsewhere. Two things go with it: the registered agent must hold the names and addresses of the LLC’s managers and a “communications contact”, and if you trade from another state you usually register there too and pay its fees as well. The calculator below adds those up when you set where you’ll run the business.
The usual comparison is a Delaware LLC, which costs more each year. The $60 yearly report is covered on the Wyoming LLC annual report page.
The cost
Every state fee, worked out for your own choices. Change the date you file, add a registered agent service, or set where you’ll run the business. To compare Wyoming with anywhere else, use the LLC cost calculator.
Year one counts the filing, set-up items and any tax charged for the year you form. Yearly reports sit under "every year after" even when the first one lands inside your first 12 months; the due dates tab shows exactly when. Taxes that depend on profit or sales are explained, not counted. Not legal or tax advice.

Online approval is instant, but the name is checked the next business day; if it is too close to an existing name (plural, 'The', punctuation and the LLC ending don't count) you may face extra paperwork and fees.
Official sourceMissing the annual report by more than 60 days dissolves the LLC, and after 2 years dissolved it can never be reinstated.
Official sourceThe new $700/$1,400 expedite service cannot be used for a new LLC, and names with words like Bank, Trust, Academy or University must go by post (up to 15 business days) because they need another agency's approval.
Official sourceEven with a commercial registered agent, the LLC must give that agent the names and addresses of its managers and a member or officer as communications contact; this stays off the public record but is not optional.
Official sourceYes, largely: members and managers do not go on the Articles or, by statute, on the LLC annual report. Their names and addresses sit with the registered agent instead, unless the LLC chooses to file them with the Secretary of State.
On the formation filing: The Articles name the registered agent (with Wyoming address), the LLC’s mailing and principal office addresses, the organizer’s signature and name, and a contact person, phone and email; no members or managers are listed. The Secretary of State says everything typed into the online system or written on the paper form, including signatures, becomes public on filing.
On yearly filings: By statute the LLC annual report gives the principal office address and the Wyoming asset figure, certified by the LLC’s treasurer or other fiscal agent; the asset worksheet is not public, but the figures on the report form are.
Every major formation service, with its own registered agent price after year one, which is where most of the money goes. Cheapest over five years in Wyoming first.

$100 to file with the state. After that, $60 a year in state fees, and $340 over five years if you are your own registered agent.
No. The Articles ask for an organizer and a registered agent at a physical Wyoming address, not where the owners live. If you don't live there, you name a Wyoming resident or a registered agent business, for example from the Secretary of State's commercial agent roster.
The state charges an annual report license tax of $60, or $0.0002 times the LLC's assets in Wyoming if higher (so $60 for up to $300,000 of Wyoming assets), plus a card convenience fee if paid online. Wyoming has no state income tax.
Not on the Articles or, by statute, the LLC annual report: they show the registered agent, addresses, organizer and contact details, but no members or managers. Manager names and a contact person are held by the registered agent unless the LLC chooses to file them with the state.
