Who files, and when

Who files
Every Massachusetts LLC, every year. Foreign LLCs registered in Massachusetts file a Foreign LLC Annual Report, also $500.
When
Anniversary date: on or before the anniversary of the date the original certificate of organization was filed, every year.

No opening date is published; the rule only sets the latest date.
First one
On or before the first anniversary of the date the certificate of organization was filed.

Step by step

How to file it

  1. 01

    Open the filing page

Go to Corporations Division Online Filing (CorpWeb). Yes. You log in with the entity's pre-assigned Customer ID Number (CID) and PIN. If you do not have them, contact the Corporations Division.

  2. 02

    Have these ready

    • Customer ID Number (CID) and PIN.
    • Federal identification number (asked at the top of the form).
    • The LLC's exact name (and any amended name).
    • Principal office address and the Massachusetts street address where records are kept.
    • General character of the business.
    • Latest date of dissolution, if one is set.
    • Resident agent name and Massachusetts street address.
    • Name and business address of each manager, and of anyone else authorized to sign filings (at least one if there are no managers).
    • Anyone authorized to sign documents affecting real property, if any.
    • Contact name, address and phone or email.
    • Visa, Mastercard or American Express card, or e-check details (checking account and routing number).
  3. 03

    Check, sign and pay

$500 filing fee set by statute. Online and fax filings add a separate $20 'expedite fee' (the fee for a $500 transaction), so online totals $520. Online and fax filings must be paid by card (Visa, Mastercard, American Express) or e-check. The filing fee and the expedite fee are charged as two separate payments and both show on your statement. Mail or walk-in: check or money order payable to the Commonwealth of Massachusetts, no expedite fee.

  4. 04

    Or file on paper

Download the Limited Liability Company Annual Report form and mail or hand-deliver it with a $500 check to the Corporations Division, One Ashburton Place, Room 1717, Boston, MA 02108-1512. Fax filing is also possible with a fax voucher (card payment, $20 expedite fee).

If it’s late or missed

Late fee
The official fee page and fee schedule list only the $500 LLC annual report fee with no late fee (the $150 late fee on the same page is for corporations).
Then
If an LLC fails to file annual reports for two years in a row, the Secretary may start an administrative dissolution. Written notice goes to the LLC’s Massachusetts office; if the problem is not fixed within 90 days, the LLC is administratively dissolved.
Putting it right
$100 for the Application for Reinstatement Following Administrative Dissolution (paper; online $100 plus $10 expedite fee), plus every missed annual report at $500 each. All overdue annual reports must be filed first. Then file the application, which states the dissolution date, that the grounds did not exist or have been fixed, and that the name is still available (or file a name amendment). Reinstatement can be applied for at any time.

Changing details on the way

Agent
No. Resident agent or resident office changes must be made with a separate Statement of Change of Resident Agent/Office.
Addresses
Yes. The annual report may amend any information in the certificate of organization (for example the principal office) except agent details; each change must be identified.
Managers
Yes. Managers and authorized signers can be updated on the report.
Cost
Agent change: free if filed online, $25 on paper or fax. No extra fee for changes made on the annual report itself.

Watch out for these

  • The LLC fee is $500 (plus $20 online). The $125/$100 annual report figures on the same official fee page are for corporations, not LLCs.

    Official source
  • Due on your exact formation anniversary date, not a fixed calendar date.

    Official source
  • Look-alike mail. Groups such as 'Massachusetts Council for Corporations', 'Corporate Record Service', 'Compliance Filings Service' and 'Compliance Services' mailed official-looking 'annual minutes' forms. They are not required; real notices show Secretary William Francis Galvin's name.

  • You cannot change your resident agent on the annual report; file the free online Statement of Change instead.
