Who files, and when

Who files
Every Florida LLC and every foreign LLC registered in Florida, every year, whether or not anything has changed. A business formed or effective after January 1 of the current year is not due a report that year.
When
Fixed calendar date: due between January 1 and May 1 every year, the same for every LLC.
Window
January 1 to May 1 each year (online until 11:59 pm Eastern on May 1 for the 2026 season).
First one
Between January 1 and May 1 of the year after the calendar year in which the articles of organization became effective. For example, an LLC formed in October 2026 files its first report between January 1 and May 1, 2027.

Tip: The Division says a company formed between October 1 and December 31 can list an effective date of January 1 of the next year, which pushes its first annual report back by a year.

Step by step

How to file it

  1. 01

    Open the filing page

Go to Sunbiz Annual Report e-filing (Florida Division of Corporations). No account or login. You enter the LLC's document number. A prepaid Sunbiz E-File account is optional.

  2. 02

    Have these ready

    • Document number (6 or 12 characters; a 12-character number starts with a letter). Find it on your notice or by searching Sunbiz by name.
    • Federal Employer Identification Number (FEIN), if not already on file. Never enter a Social Security number.
    • Principal office street address and mailing address (a PO box is fine for mailing).
    • Registered agent name and Florida street address (no PO box). A new agent must type their name to accept the appointment.
    • Name, title and street address of at least one person who manages the LLC (manager or authorized member).
    • An email address for the filing confirmation and future Division emails.
    • Visa, Mastercard, American Express or Discover card, a debit card, or a prepaid Sunbiz E-File account.
  3. 03

    Check, sign and pay

$50 annual report fee plus the $88.75 supplemental corporate fee. No separate card surcharge is listed on the Sunbiz fee pages. Cards are processed by NIC Services (Tyler Payment Services) and appear on statements as 'NIC DOS DIVISION OF CORP'.

Card filings are processed and posted on Sunbiz immediately; check filings are processed in the order received. The state does not publish how long the form takes to fill in.

  4. 04

    Or file on paper

There is no separate paper form. You complete the report online, choose 'Pay by Check', print the payment voucher and mail it with a check or money order payable to the Florida Department of State. It must be postmarked and mailed on or before May 1 to avoid the late fee.

If it’s late or missed

Late fee
Any LLC report received after May 1 (online after 11:59 pm Eastern; by check if not postmarked by May 1) costs $538.75 instead of $138.75. The $400 is set by statute and the Division says it is imposed on all LLCs.
Then
If the report is not filed by 5 pm Eastern on the third Friday in September, the LLC is administratively dissolved on the fourth Friday in September. For 2026 the Division accepted checks until September 18 and card payments until 5 pm Eastern on September 25, 2026. Notice of dissolution can be sent by email.
Putting it right
$100 reinstatement fee plus $138.75 for each report year due. File the online reinstatement (or a current annual report signed by the registered agent and an authorized person) and pay all fees at once. Entities dissolved less than one calendar year post immediately when paid by card; over a year, allow 2 to 3 business days for a name check. The $400 late charge is not added when a dissolved LLC reinstates and pays the reinstatement fee. Reinstatement relates back to the dissolution date.

Changing details on the way

Agent
Yes. You can change the registered agent and registered office on the report; the new agent must sign. A changed agent on the report counts as a statement of change by law.
Addresses
Yes. Principal office and mailing address can be changed.
Managers
Yes. You can add, delete or change names and addresses of managers and authorized members. You can also add or change the FEIN.
Not on it
The LLC’s name cannot be changed on the report (needs an amendment by mail).
Cost
None listed on the annual report pages; the fee stays $138.75. After the year’s report is filed, further changes need an amended annual report at $50.

Watch out for these

  • Look-alike mail. Notices for 'Annual Minutes' or 'Annual Corporate Record Forms' asking for $125 are not from the state and are not required. The Secretary of State says to file directly on Sunbiz; real Division mail carries the State of Florida seal and the Sunbiz logo.

    Official source
  • The $400 late fee starts the moment May 1 passes and applies to every LLC, whether or not anything changed. A check must be postmarked by May 1.

    Official source
  • Check before you press submit: once filed, the report cannot be changed, canceled or refunded. A fix costs a $50 amended report.

    Official source
  • You never need to buy a certificate of status to stay valid; notices saying otherwise are not from the Division.
