An LLC is “foreign” in every state except the one it was formed in. If it does business in another state, it usually has to register there too and pay that state’s yearly fees. Here is what every state charges.

What an LLC formed in another state pays to register here and stay registered, from each state's own pages, checked 21 October 2026. Taxes on profit or sales are not counted. Not legal or tax advice.
States ask an out-of-state LLC to register (often called foreign qualification) once it is “transacting business” there. Each state defines that in its own law, but an office, staff, property or regular in-person trade in the state usually counts. Most states also list things that do not count on their own, such as holding a bank account or selling to customers there from another state. Check the state’s own rules before you decide.
Forming in Wyoming or Delaware does not let a business run from Texas or California skip those states. If you run it from home, you register at home as a foreign LLC, pay home’s yearly fees, and pay the formation state’s fees and a registered agent there as well. For most owners that makes the “cheap” state the dearer choice. Pick your home state in the LLC cost calculator and its Other states tab shows the difference.
Texas charges a late fee equal to its $750 registration fee for each year or part year an LLC traded without registering.
Missouri can fine an unregistered out-of-state LLC at least $1,000; Maryland adds a $200 penalty when it registers late.
Most states won’t let an unregistered LLC bring a lawsuit there until it registers and pays what it owes.
