Anniversary month: due on the first day of the month the LLC was formed, every year. Example: formed May 15, report due May 1 each year.
Window
Up to 120 days before the due date.
First one

Step by step

How to file it

  1. 01

    Open the filing page

Go to Annual Report Wizard (WyoBiz). No account. You look up the business and use its Secretary of State Filing ID (format 2000-000123456).

  2. 02

    Have these ready

    • Secretary of State Filing ID (find it by searching the business name).
    • Total value of the LLC's capital, property and assets located and employed in Wyoming (sets the license tax).
    • Principal office address.
    • Visa or Mastercard credit or debit card, if paying online.
    • The report is certified under penalty of perjury by the treasurer or other fiscal agent.
  3. 03

    Check, sign and pay

License tax is $60 or two-tenths of one mill on the dollar ($0.0002) of the LLC's assets located and employed in Wyoming, whichever is greater. LLCs with $300,000 or less in Wyoming assets pay $60; e.g. $1,210,000 of Wyoming assets = $242. Online: Visa or Mastercard credit or debit only, plus a payment card processing fee of 2.4% (minimum $1). Online filing is not allowed if the fee is over $500.

  4. 04

    Or file on paper

On the wizard's 'Confirmation' step you can print the completed report instead of paying online, then sign it and mail it with the fee to the Wyoming Secretary of State, Herschler Building East, 122 W 25th St, Suite 101, Cheyenne, WY 82002-0020. No processing fee by mail.

If it’s late or missed

Late fee
No separate late fee is listed for LLC annual reports. The LLC becomes delinquent on the second day of the month after its due date.
Then
If the report is not filed within 60 days after the due date, the LLC is administratively dissolved (statute: deemed defunct 60 days after the state’s notice).
Putting it right
$100 ‘Reinstatement for Tax’ plus all delinquent annual report license taxes. An LLC dissolved for missed annual reports within the past two years, with no other problems, can reinstate online (or print mail-in forms) using its Filing ID. LLCs with several problems get a mail-in form. Wyoming law does not allow reinstatement after two years of administrative dissolution.

Changing details on the way

Agent
Not on the annual report. Use the separate registered agent forms: Appointment of New Registered Agent and Office, $5.
Addresses
The report states the principal office address. Principal and mailing address, phone and email can also be updated anytime on the free Update Form (email SOSRequest@wyo.gov).
Managers
Not part of the LLC report: the state’s checklist asks for officer and director names only for corporations, and the statute requires assets and the principal office, not managers. The Update of Officers/Directors form is for corporations; other LLC amendments are a separate $60 filing or an email to Business@wyo.gov.
Cost
Agent change $5; address/email update form has no fee shown; LLC amendment $60.

Watch out for these

  • Online filing adds a 2.4% processing fee (at least $1). Printing the report from the wizard and mailing it costs nothing extra.

    Official source
  • The grace period is short and final: dissolved 60 days after the due date, and reinstatement is impossible after two years.

    Official source
  • The $60 is a minimum, not a flat fee. LLCs with more than $300,000 of Wyoming assets pay $0.0002 per dollar, and fees over $500 cannot be paid online.

  • Real reminder emails come only from SOS_AnnualReports@wyo.gov, and only if you gave the state an email address.
