Who files, and when

Who files
Every Illinois LLC and every foreign LLC admitted to do business in Illinois, every year, to stay in existence and in good standing.
When
Anniversary month: due before the first day of the month in which the LLC was organized, every year. Example: organized September 15, the report is due before September 1 each year. A report mailed and postmarked before the first day of the anniversary month counts as on time.
Window
Within the 60 days immediately before the first day of the LLC’s anniversary month.
First one
Before the first day of the anniversary month in the year after formation (about 11 months after forming). Example: formed September 15, 2026, first report due before September 1, 2027.

Step by step

How to file it

  1. 01

    Open the filing page

Go to LLC Annual Report Filings (Illinois Secretary of State online service). No account. You enter the LLC's file number.

  2. 02

    Have these ready

    • LLC file number (find it with the state's business entity search).
    • Registered agent and registered office as on file (they cannot be changed on the online report).
    • Principal place of business street address (a PO box alone is not accepted).
    • Names and business addresses of every manager and any member with manager authority.
    • The filer must be a person listed in the report (the online guidelines say an officer listed in the report; the statute says a manager, or a designated member if there are no managers).
    • Card for the $75 fee, the processor fee and any penalties already owed.
  3. 03

    Check, sign and pay

$75 per year, plus $50 for each series if the LLC has series with certificates of designation. Online filing is by credit or debit card (Visa, Mastercard, Discover, American Express). The state says a payment processor fee is charged on every online transaction but does not publish the amount. Paper filings are paid by check to the Secretary of State.

Online annual reports get real-time processing (no expedite fee needed). The state does not publish a time to fill in the form.

  4. 04

    Or file on paper

Form LLC-50.1 by mail to the Department of Business Services, Limited Liability Division, 501 S. Second St., Rm. 351, Springfield, IL 62756, with a check payable to the Secretary of State. A pre-filled version is also mailed to the registered agent.

If it’s late or missed

Late fee
Missing the due date makes the LLC delinquent and not in good standing. If the report is still not filed before the first day of the second month after the anniversary month (about 60 days late), a $100 penalty applies, plus $100 for each year or part year from the second year of delinquency. The state will not file other documents for the LLC while it is delinquent.
Then
The Secretary of State mails a notice of delinquency to the registered office. If the report and fees are not filed within 120 days of that notice, the LLC is administratively dissolved. A dissolved LLC’s name is not available to anyone else for three years.
Putting it right
$200 (Form LLC-35.40/45.65), plus every annual report then due and all fees and penalties. File the application for reinstatement with all overdue annual reports and payment. Once filed, the LLC’s existence is treated as never interrupted and members and managers are not personally liable for debts from the dissolved period. An online/expedited option exists (expedite $100 extra).

Changing details on the way

Agent
No. Agent or registered office changes are not made on the annual report. File the report with no changes, then change the agent online or on Form LLC-1.36/1.37.
Addresses
The principal place of business and manager addresses are reported on the form. Registered office changes need the separate form.
Managers
Yes. The report lists the names and business addresses of all managers and members with manager authority as of the filing date.
Cost
Separate agent or registered office change: $25 (online, reviewed within 10 days; $75 with 24-hour expedite).

Watch out for these

  • The deadline is the day before your anniversary month starts, not your formation date. An LLC formed on September 15 must file before September 1.

    Official source
  • Scam mail. The Secretary of State warns about 'Corporate Meeting Minutes' asking $148.67 for an 'Annual Statement', and 'IL Certificate Service' asking about $87 for a 'Certificate of Status'. Neither is required; a real good standing certificate costs $25 from the state.

    Official source
  • You cannot change your registered agent on the annual report. Changing it needs a separate $25 filing.
