Every Florida LLC files an annual report on Sunbiz between January 1 and May 1, starting the year after it forms. It takes a few minutes and costs $138.75. A day late and Florida adds $400, which it won’t waive.

Not formed yet? The guide to starting an LLC in Florida covers every step before this one. To see what this filing adds to the cost of running the LLC over five years, with every other state fee, use the LLC cost calculator.
Tip: The Division says a company formed between October 1 and December 31 can list an effective date of January 1 of the next year, which pushes its first annual report back by a year.
Step by step
Go to Sunbiz Annual Report e-filing (Florida Division of Corporations). No account or login. You enter the LLC's document number. A prepaid Sunbiz E-File account is optional.
$50 annual report fee plus the $88.75 supplemental corporate fee. No separate card surcharge is listed on the Sunbiz fee pages. Cards are processed by NIC Services (Tyler Payment Services) and appear on statements as 'NIC DOS DIVISION OF CORP'.
Card filings are processed and posted on Sunbiz immediately; check filings are processed in the order received. The state does not publish how long the form takes to fill in.
There is no separate paper form. You complete the report online, choose 'Pay by Check', print the payment voucher and mail it with a check or money order payable to the Florida Department of State. It must be postmarked and mailed on or before May 1 to avoid the late fee.
Look-alike mail. Notices for 'Annual Minutes' or 'Annual Corporate Record Forms' asking for $125 are not from the state and are not required. The Secretary of State says to file directly on Sunbiz; real Division mail carries the State of Florida seal and the Sunbiz logo.
Official sourceThe $400 late fee starts the moment May 1 passes and applies to every LLC, whether or not anything changed. A check must be postmarked by May 1.
Official sourceCheck before you press submit: once filed, the report cannot be changed, canceled or refunded. A fix costs a $50 amended report.
Official sourceYou never need to buy a certificate of status to stay valid; notices saying otherwise are not from the Division.
